Thai Airways Kicks Off Voluntary Debt-to-Equity Conversion Program for Creditors

Thai Airways International Public Company Limited (SET: THAI) has announced that the period of the Voluntary Debt-to-Equity Conversion Right for creditors has become effective on 18 November 2024.

As Thai Airways International Public Company Limited (SET: THAI) submitted the registration statement (Form 69-1) and the draft prospectus to the Office of the Securities and Exchange Commission (the “Office of the SEC”) and the Stock Exchange of Thailand on 30 September 2024, the Company would like to inform you that the registration statement (Form 69-1) and the prospectus of the Company for (a) the exercise of right by the creditors to voluntarily convert the existing debts into additional equity under the business rehabilitation plan (Voluntary Conversion) and (b) the voluntary conversion of suspended new interests into equity by the creditors under the business rehabilitation plan, ((a) and (b) collectively referred to as the “Voluntary Debt-to-Equity Conversion Right under the Plan”), have become effective on 18 November 2024.

Additionally, each creditor under the business rehabilitation plan who is eligible for the Voluntary Debt-to-Equity Conversion Right under the Plan will receive a letter from the Company informing such creditor of its debts under the business rehabilitation plan for expressing its intention to exercise its Voluntary Debt-to-Equity Conversion Right under the Plan. The letter will be sent to each creditor’s address based on the database of the Official Receiver as of 28 October 2024.

The period for expressing the intention to exercise the Voluntary Debt-to-Equity Conversion Right under the Plan is from 9.00 am on 19 November 2024 to 4.00 pm on 21 November 2024 within the business hours of the underwriter (i.e. Kiatnakin Phatra Securities Public Company Limited) (the “Underwriter”) or the selling agent (i.e. Krung Thai Bank Public Company Limited) (the “Selling Agent”), which maybe different according to each office, branch or channel.Additionally, the creditors who are eligible for the Voluntary Debt-to-Equity Conversion Right can find more details on the methods of and period for expressing the intention to exercise the Voluntary Debt-to-Equity Conversion Right under the Plan in “Part 4: Information on the Securities Offering” of the effective version of the registration statement (Form 69-1) and prospectus of the Company, which can be accessed on the Office of the SEC’s website (https://market.sec.or.th/public/ipos/IPOSEQ01.aspx?TransID=652590&lang=th).
