ORI Forms a JV for Hospitality Business and Real Estate Development

Origin Property Public Company Limited (SET: ORI) has announced the notification of the establishment of new subsidiaries and the joint venture investment of the subsidiaries via the Stock Exchange of Thailand (SET).

The company has established 13 new registered subsidiaries with the following details:

  1. ORIGIN RAMINTRA 87 COMPANY LIMITED, registered on 8 October 2023, as a real estate development of vertical residential property, with a registered capital of THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares are held by Origin Vertical Corporation Company Limited (Origin Vertical), the company’s subsidiary which 100% of shares are directly and indirectly owned by ORI. The source of funds is the company’s working capital.

 

  1. ORIGIN CONDOMINIUM SPV 4 COMPANY LIMITED, registered on 19 December 2023, as a real estate development of vertical residential property, with a registered capital of THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares are held by Origin Vertical Corporation Company Limited, the company’s subsidiary which 100% of shares are directly and indirectly owned by ORI. The source of funds is the company’s working capital.

ORIGIN CONDOMINIUM SPV 5 COMPANY LIMITED, registered on 19 December 2023, as a real estate development of vertical residential property, with a registered capital of THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares are held by Origin Vertical Corporation Company Limited, the company’s subsidiary which 100% of shares are directly and indirectly owned by ORI. ONE HAMPTON BRIXTON BANGSAEN COMPANY LIMITED, registered on 14 November 2023, as a real estate development of commercial purpose, with a registered capital of THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares are held by Origin Hotel Public Company Limited (formerly known as“One Origin Public Company Limited”), the company’s subsidiary which 100% of shares are directly and indirectly owned by ORI. ONE HAMPTON BRIXTON KASET SRIRACHA COMPANY LIMITED, registered on 14 November 2023, as a real estate development of commercial purpose, with a registered capital of THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares are held by Origin Hotel Public Company Limited (formerly known as“One Origin Public Company Limited”), the company’s subsidiary which 100% of shares are directly and indirectly owned by ORI. The source of funds is the company’s working capital.

V HOME COMPANY LIMITED, registered on 9 January 2024, as a retail sale of other construction materials in specialized stores, with a registered capital of THB 21,000,000, consisting of 2,100,000 ordinary shares with a par value of THB 10 each. 99.99% of all shares held by Origin Property Public Company Limited. The source of funds is the company’s working capital.

 

In addition, the company approved its subsidiaries to enter into the joint venture agreements with the following details:

  1. The company has approved Origin Hotel Public Company Limited (formerly known as “One Origin Public Company Limited”) (ORIGIN HOTEL), a subsidiary of the company engaged in the hospitality business and real estate development for commercial purposes, to enter into the joint venture agreement with 3 partners, as follows:

 

1.1 TLTH JV 1 Company Limited (TLTH), collaborating on a joint venture named One Origin Onnut Company Limited, with the date of incorporation on 4 September 2023, having hospitality business and real estate development for commercial purposes as objectives. The registered capital is THB 140,500,000, consisting of 14,050,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 0.001% (1 share) held by Mr. Piti Jarukamjorn and 50.999% (7,165,499 shares) held by Origin Hotel Public Company Limited.

Group B: 49% (6,884,500 shares) held by TLTH JV 1 Company Limited.

The names of the directors include Mr. Piti Jarukamjorn, Mr. Panyawath Chanrungsang, Ms. Khajita Wuttikarnkosol, Mr. Tsuyoshi Kojima, and Mr. Yuki Ohno.

On 28 December 2023, Origin Hotel Public Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, One Origin Onnut Company Limited has successfully registered the change of director and other matters required by the joint venture agreement.

 

1.2 K East Company Limited (K East), collaborating on a joint venture named One Origin SPV 4 Company Limited, with the date of incorporation on 8 November 2023, having hospitality business and real estate development for commercial purposes as objectives. The registered capital is THB 105,200,000, consisting of 10,520,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 50% (52,600,000 shares) held by One Hotel Public Company Limited

Group B: 50% (52,600,000 shares) held by K East Company Limited

The names of the directors include Mr. Piti Jarukamjorn, Ms. Khajita Wuttikarnkosol, Mr. Panyawath Chanrungsang, Mr. Thiti Sihanatkathakul, Mr. Tosaporn Sihanatkathakul, and Mr. Theerawit Wiggayanont.

On 28 December 2023, Origin Hotel Public Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, One Origin SPV 4 Company Limited has successfully registered the change of director and other matters required by the joint venture agreement.

 

1.3 Mr. Pornudom Chotmanotum (Partner), collaborating on a joint venture named One Origin Chiang Mai Nimman Company Limited, with the date of incorporation on 16 November 2023, having hospitality business and real estate development for commercial purposes as objectives. The registered capital is THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 50% (50,000 shares) held by Origin Hotel Public Company Limited

Group B: 50% (50,000 shares) held by Mr. Pornudom Chotmanotum

The names of the directors include Mr. Piti Jarukamjorn, Mr. Pitipong Trinuruk, Mr. Panyawath Chanrungsang, Mr. Pornudom Chotmanotum, Ms. Chananud Chotmanotum, and Mr. Pornsit Chotmanotum.

On 29 March 2024, Origin Hotel Public Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, One Origin Chiang Mai Nimman Company Limited has successfully registered the change of director and other matters required by the joint venture agreement on 14 May 2024.

 

  1. The company has approved Origin Vertical Corporation Company Limited (formerly known as “Origin Condominium Company Limited”) (Origin Vertical), a subsidiary of the company engaged in real estate development of vertical property (condominium), to enter into the joint venture agreement with Nomura Real Estate (Thailand) Company Limited (Nomura), as follows:

 

1) ORIGIN TAOPOON COMPANY LIMITED, with the date of incorporation on 22 June 2023, having real estate development of vertical property as objectives. The registered capital is THB 660,000,000, consisting of 66,000,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 51% (51,000 shares) held by Mr. Kreingkrai Kreebongkan (1 share), and Origin Vertical Corporation Company Limited (33,659,999 shares)

Group B: 49% (32,340,000 shares) held by Nomura Real Estate (Thailand) Company Limited

The names of the directors include Mr. Kreingkrai Kreebongkarn, Mr. Panyawath Chanrungsang, Mr. Apisit Soonthronchukiat, Mr. Naomi Endo, and Mr. Hideo Takahashi.

On 21 December 2023, Origin Vertical Corporation Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, Origin Taopoon Company Limited has successfully registered the change of director and other matters required by the joint venture agreement.

 

2) ORIGIN BANG WA COMPANY LIMITED, with the date of incorporation on 19 September 2023, having real estate development of vertical property as objectives. The registered capital is THB 785,000,000, consisting of 78,500,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 51% (40,035,000 shares) held by Origin Vertical Corporation Company Limited

Group B: 49% (38,465,000 shares) held by Nomura Real Estate (Thailand) Company Limited

The names of the directors include Mr. Piti Jarukamjorn, Mr. Panyawath Chanrungsang, Mr. Apisit Soonthronchukiat, Mr. Naomi Endo, and Mr. Hideo Takahashi.

On 22 March 2024, Origin Vertical Corporation Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, Origin Bang Wa Company Limited has successfully registered the change of director and other matters required by the joint venture agreement.

 

  1. The company has approved Origin Nationwide Company Limited (Origin Nationwide), a subsidiary of the company engaged in real estate development of vertical property (condominium), to enter into the joint venture agreement with Harrison Public Company Limited (Harrison), as follows:

 

1) ORIGIN PATTAYA SUKHUMVIT 1 COMPANY LIMITED, with the date of incorporation on 12 June 2023, having real estate development of vertical property as objectives. The registered capital is THB 1,000,000, consisting of 100,000 ordinary shares with a par value of THB 10 each. The source of funds is the company’s working capital.

The shareholding structure is separated into two groups, including Group A and Group B.

Group A: 51% (51,000 shares) held by Origin Nationwide Company Limited

Group B: 49% (49,000 shares) held by Harrison Public Company Limited

The names of the directors include Miss Kanokpailin Wilaikaew, Mr. Phumipat Rittitada, Mr. Krit Techasumma, Mr. Sahatchai Kwancheun, and Mr. Soonthornsingha Vittayapiyanont.

On 29 March 2024, Origin Nationwide Company Limited entered into a joint venture agreement including restructuring the shareholder structure as required by the joint venture agreement.

In this connection, Origin Pattaya Sukhumvit 1 Company Limited has successfully registered the change of director and other matters required by the joint venture agreement on 15 May 2024.
