OR Raises Shareholding in OKJ to 20% through Big Lot Transaction

PTT Oil and Retail Business Public Company Limited (SET: OR) raised shareholding in OKJ to 20% through a big lot transaction at the IPO price of THB 6.70 per share.

According to the disclosure in the prospectus and filing made by Pluk Phak Praw Rak Mae Public Company Limited (SET: OKJ) in relation to the share purchase agreement between Modulus Ventures Co., Ltd. (Modulus) (a subsidiary of OR) and the co-founders of the company, which Modulus agreed to purchase the existing ordinary shares, total of 31,800,000 shares from the co-founders, representing 5.22 percent of the total issued and paid-up ordinary share after the initial public offering (IPO) at the IPO price, THB 6.70 per share, through Big Lot Board on the Stock Exchange of Thailand. This transaction is intended to maintain Modulus’s shareholdings proportion at 20.00 percent.

In this regard, the company hereby notifies the information as apprised by the shareholders of the company that, on 4 October 2024, Modulus completed the purchasing of OKJ existing shares from the co-founders as above mentioned details. After the transaction, the number of ordinary shares held by Modulus and the co-founders of the company are as follows;

This change of shareholding structure has no impact on management structure, policies on the business operation, controlling power of the company and no impact to other shareholders of the company.
