Thai Airways International Public Company Limited (SET: THAI), led by CEO Mr. Chai Eamsiri, reported to the Stock Exchange of Thailand regarding the registration of increased paid-up capital through the issuance of additional common shares as part of its business rehabilitation plan and capital restructuring.
THAI announced that it had allocated a total of 5,131,073,372 newly issued common shares. These shares were distributed to existing shareholders with entitlement rights, company employees who were eligible, and private placement investors, priced at 4.48 baht per share. This falls under the guidelines set out in Section 5.6.4 of the rehabilitation plan. The company successfully registered this increased paid-up capital with the Department of Business Development, Ministry of Commerce, on December 20, 2067.
Following the allocation and registration of the additional capital, THAI’s total registered paid-up capital amounts to 283,032,915,670 baht, with 28,303,291,567 shares issued, each with a par value of 10 baht.
Post-restructuring, the shareholder composition has changed as follows:
- The Ministry of Finance and state enterprises remain the largest shareholder with a 42.94% stake, totaling 12,152,566,129 shares, down from a previous 49.99% stake.
- Vayupak Fund One holds 0.58%, unchanged at 165,163,864 shares, reduced from 7.57%.
- Bangkok Bank Public Company Limited (BBL) increased its holdings to 8.51%, holding 2,407,879,062 shares, up from 0.43%.
- The Electricity Generating Authority of Thailand (EGAT) Savings Cooperative entered with a 5.43% stake, holding 1,538,121,854 shares, and Krung Thai Bank Public Company Limited (KTB) with a 4.69% stake, holding 1,327,322,126 shares.
- Other creditors following debt-to-equity conversion under the rehabilitation plan hold 33.09%, totaling 9,365,393,586 shares.
- Other pre-restructure shareholders, company employees, and private placement investors hold 4.76%, totaling 1,346,844,946 shares, down from 42.01%.
Notably, several state enterprises converted their debt to equity, including the Government Savings Bank holding 477,995,117 shares, the Islamic Bank of Thailand with 397,330,248 shares, the Export-Import Bank of Thailand holding 167,339,685 shares, and National Telecommunications Public Company Limited (NT) holding 129,757,967 shares.
